Uurly — Terms of Service

1. Who we are
These Terms of Service ("Terms") govern your use of the Uurly desktop application, the uurly.io website and personal dashboard, the token feed and related services (together, the "Service").
The Service is provided by Uurly, a business registered in Belgium ("Uurly", "we", "us"). Our full company details are published on uurly.io.

2. What Uurly is — and what it is not
Uurly is software that runs on your own computer and executes the rules you set, from your own wallet. Uurly is not a broker, exchange, asset manager, custodian or investment adviser, and does not provide financial services or financial advice.
In particular:
- We do not hold your funds or keys. Your wallet keys are stored encrypted on your own computer and are never sent to us. We never have access to your funds.
- We do not trade for you. Every purchase and sale is made from your own wallet, by software running on your own device, according to settings you choose. We do not execute orders on your behalf, do not manage portfolios and do not pool funds.
- We do not advise you. Scores, ratings, rejection reasons, trade explanations, risk profiles and default settings are technical features of the software. They are not investment, financial, legal or tax advice, and not a recommendation to buy or sell any asset.
- We do not guarantee results. Safety checks are risk signals, not guarantees. They cannot detect every scam, rug pull, honeypot or malicious contract.
3. Acceptance
By downloading, installing or using the Service, or by purchasing a subscription, you agree to these Terms, our Privacy Policy and our Risk Disclaimer. If you do not agree, do not use the Service.
4. Eligibility
You may use the Service only if:
- you are at least 18 years old and legally able to enter into a binding contract;
- using crypto-assets and software like Uurly is legal in your country of residence. You are solely responsible for checking this;
- you are not located in, or a resident of, a country or region subject to EU, UN or other applicable sanctions, and you are not a sanctioned person.
5. Features and operating modes
5.1 Uurly discovers newly listed tokens on supported public blockchains (as listed on uurly.io), evaluates them locally on your device against the settings you configure, and can buy and sell tokens from your own wallet according to those settings.
5.2 Uurly offers the following modes:
- Dry-run: simulated trading without real funds;
- Manual: you enter a token address and start each purchase yourself;
- Semi-automatic: Uurly proposes purchases that match your settings; you confirm each purchase yourself;
- Fully automatic: Uurly buys automatically according to your settings, without asking for confirmation for each purchase.
5.3 Fully automatic mode is not available to residents of the European Economic Area (EEA). We determine your residence based on the information you provide at purchase, including your billing country. Providing false information about your residence to access this mode is a breach of these Terms.
5.4 Uurly only buys while you have started it yourself. You can pause or stop it at any time, from the app or from your personal dashboard on uurly.io.
5.5 Risk profiles (such as Conservative, Balanced and Aggressive) are starting points for your own settings, not strategies or recommendations from us. You remain responsible for the settings you use.
6. Your responsibilities
You are solely responsible for:
- the security of your computer, your wallets, your private keys and your licence key;
- your settings, including stake size, stop-loss, take-profit, daily loss limit and mode, and for testing them first in dry-run;
- monitoring the software while it is running, and stopping it when needed;
- all transaction fees, network fees, slippage and other blockchain costs;
- complying with all laws that apply to you, including tax reporting on your results.
7. Licence
7.1 Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Uurly software for your own personal use on one (1) device at a time.
7.2 You may not: copy, modify, reverse engineer, decompile or disassemble the software, except where mandatory law allows it; resell, sublicense, share or publish your licence key; circumvent licence checks or technical limits, including the device limit and the restriction in section 5.3; use the Service to manipulate markets, launder money or for any other unlawful purpose; or overload, scrape or attack our servers.
7.3 All intellectual property rights in the Service remain with us or our licensors.
8. Free use and subscriptions
8.1 Trial. You can try dry-run mode free of charge with a trial licence. A trial runs for up to 3 days, is limited to one per person and one per device, and uses a fixed set of demo tokens (example data based on earlier measurements, with made-up names and addresses). The live token feed requires a paid licence.
8.2 Paid subscription. Using real funds requires a paid subscription. The price is shown on uurly.io before purchase. Prices are shown excluding VAT; VAT that applies to you is added and shown before you pay.
8.3 Billing and renewal. Subscriptions are billed in advance, monthly or yearly as you choose, and renew automatically for the same period until cancelled. Uurly charges no fee on your trades. Payments are processed by our payment providers, Stripe and PayPal.
8.4 Cancellation. You can cancel at any time via your personal dashboard on uurly.io, also when the Uurly app is not running. Cancellation takes effect at the end of the current billing period; you keep access until then. Partial months are not refunded, except as required by law or as set out in sections 9 and 10.
8.5 One-time purchases. Extra colour themes are one-time purchases. They belong to your account (your email address) and work on every computer you sign in on, as long as you have a licence that includes them.
8.6 Price changes. We may change prices for future billing periods. We will notify you by email at least 30 days in advance. If you do not agree, you can cancel before the change takes effect.
9. Right of withdrawal for consumers
If you are a consumer, you have the right to withdraw from your subscription within 14 days of purchase, without giving any reason.
At checkout, you can expressly request that the Service starts immediately. If you then withdraw within the 14-day period, we refund the amount you paid minus a proportional amount for the days the paid Service was already provided.
To withdraw, send us a clear statement via the contact details on uurly.io within the 14-day period. You may use the model withdrawal form below, but this is not required. We will refund any amount due within 14 days of receiving your withdrawal, using the same payment method you used, at no cost to you.
You can try the Service free of charge with a 3-day trial licence (dry-run, demo tokens) before purchasing.

10. Availability and changes
The Service depends on third parties we do not control, including blockchain networks, RPC providers, DEX aggregators and market data providers. We do not guarantee that the Service will be uninterrupted or error-free, or that the token feed will be complete or timely. We may update, change or discontinue features. Updates may be required to keep using the Service. If we materially reduce the paid features during a billing period, you may cancel and receive a pro-rata refund for the remaining period.
11. Limitation of liability
11.1 Using crypto-assets carries a high risk of total loss. To the maximum extent permitted by law, we are not liable for:
- trading losses, missed profits or opportunities, or the value or performance of any token;
- losses caused by your settings, your decisions, or your failure to monitor or stop the software;
- losses caused by third parties, including token creators (rug pulls, honeypots, malicious contracts), blockchains, wallets, RPC or data providers;
- losses caused by malware on your device or the compromise of your keys or licence key;
- indirect or consequential damages.
11.2 Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
11.3 Nothing in these Terms excludes or limits our liability for fraud, intentional misconduct or gross negligence, for death or personal injury, or any other liability that cannot be excluded or limited under applicable law, including mandatory consumer protection law.
12. Suspension and termination
We may suspend or terminate your licence if you breach these Terms, misuse the Service, or if required by law. You may stop using the Service at any time. Sections 2, 7.3, 11, 12 and 14 survive termination.
13. Changes to these Terms
We may update these Terms. We will notify you of material changes by email or in the app at least 30 days before they take effect. If you do not agree, you may cancel your subscription before the changes apply.
14. Governing law and disputes
These Terms are governed by Belgian law. If you are a consumer, you also keep the protection of the mandatory provisions of the law of your country of residence.
Please contact us first via the contact details on uurly.io; we aim to respond to complaints within 14 days. Consumers in Belgium can also contact the Consumer Ombudsman Service (consumentenombudsdienst.be).
Disputes fall under the jurisdiction of the competent Belgian courts, without prejudice to the right of consumers to bring proceedings in the courts of their own country of residence.
15. Miscellaneous
If any provision of these Terms is held invalid, the remaining provisions remain in force. These Terms, together with the Privacy Policy and the Risk Disclaimer, form the entire agreement between you and us regarding the Service.
